These Terms of Service ("Terms") form a legal agreement between Globe Astral LLC ("we," "us," "our," or "Documintly") and you, the person or entity using Documintly ("you," "your," or "User").
Documintly is owned and operated by Globe Astral LLC, a Wyoming limited liability company.
By creating an account, accessing, or using Documintly, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
1. About These Terms
These Terms apply to your use of Documintly, including our website, web application, invoice tools, document tools, PDF tools, templates, QR code tools, sharing features, billing features, storage features, and related services.
These Terms should be read together with our:
- Privacy Policy
- Cookie Policy
- Data Processing Addendum, where applicable
- Any other policies or notices we publish or make available through the Service
If you use Documintly on behalf of a company, organization, or other legal entity, you confirm that you have authority to bind that entity to these Terms.
2. Definitions
Service means the Documintly platform, including the website, web application, and all related features, tools, software, pages, content, and services.
Account means the account you create to access and use Documintly.
Subscription means a paid recurring plan that gives you access to Documintly.
Trial means a free or discounted period of access to Documintly before a paid Subscription begins or is required.
User Content means any data, files, text, images, signatures, templates, invoices, documents, PDFs, QR codes, client information, business information, or other material that you upload, create, edit, store, generate, share, or manage using Documintly.
Client Data means information about your own clients, customers, recipients, contacts, or business counterparties that you enter into or upload to Documintly.
Shared Link means a link generated through Documintly that allows an invoice, document, file, or other content to be viewed or downloaded by another person.
3. Eligibility
You must be at least 18 years old to use Documintly.
By using the Service, you confirm that:
- You are at least 18 years old
- You have the legal capacity to enter into these Terms
- You will use the Service only in accordance with these Terms and applicable law
- If you are using the Service for a business, you have authority to act on behalf of that business
We may refuse, suspend, or terminate access to the Service if we believe you are not eligible to use it or if your use creates legal, security, operational, or reputational risk.
4. Account Registration and Security
To use certain parts of Documintly, you must create an Account.
You agree to:
- Provide accurate, current, and complete account information
- Keep your login credentials secure and confidential
- Not share your account access with unauthorized persons
- Promptly notify us of unauthorized access or suspected security issues
- Be responsible for all activity that occurs under your Account
You are responsible for maintaining the security of your Account, your devices, your email inbox, and any third-party services you connect or use with Documintly.
We are not responsible for losses caused by your failure to protect your login credentials, devices, email account, shared links, or other access methods.
5. The Documintly Service
Documintly provides tools for creating, editing, organizing, storing, and sharing business documents, including invoices and PDFs.
The Service may include features such as:
- Invoice creation and management
- PDF upload, editing, and document management
- Client and business contact records
- Document templates and user-uploaded templates
- QR code creation and management
- File storage and document organization
- Shareable invoice and document links
- View and download tracking for shared links
- In-app notifications
- PDF editor tools
- Signature-related tools
- Billing and subscription management
- Account settings and business profile settings
We may add, modify, improve, suspend, or remove features over time. We will try to give reasonable notice where a material change significantly reduces core functionality that active users rely on, but we are not required to maintain every feature permanently.
6. No Accounting, Tax, Legal, or Financial Advice
Documintly is a document and invoice management tool. It is not an accounting firm, law firm, tax advisor, financial advisor, or payment processor.
The Service may help you create invoices, documents, templates, PDFs, QR codes, and related business records, but you remain responsible for:
- Checking the accuracy of invoices, documents, totals, taxes, notes, payment terms, and business details
- Complying with applicable tax, accounting, invoicing, e-invoicing, recordkeeping, and business laws
- Getting professional advice where needed
- Confirming that documents are legally valid and appropriate for your use
- Keeping copies of important business records outside the Service where appropriate
We do not guarantee that documents, invoices, templates, tax fields, or generated outputs are legally compliant in your country, state, industry, or business situation.
7. User Content
You retain ownership of your User Content.
By uploading, creating, editing, storing, sharing, or managing User Content through Documintly, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, transmit, and otherwise use your User Content only as necessary to:
- Provide the Service
- Maintain and secure the Service
- Process your instructions
- Generate, edit, store, or share documents and invoices
- Provide support
- Comply with applicable law
- Enforce these Terms
We do not claim ownership of your invoices, documents, PDFs, templates, client records, uploaded files, signatures, QR codes, or other User Content.
You are solely responsible for your User Content and for ensuring that you have all rights, permissions, and legal bases required to use it with Documintly.
8. Client Data and Third-Party Personal Data
If you enter, upload, or store personal data about your clients, customers, recipients, employees, contractors, or other third parties, you are responsible for ensuring that you have the right to do so.
You are responsible for:
- Providing any required privacy notices to your own clients or contacts
- Obtaining any required consent or legal basis
- Responding to requests from your own clients or contacts where required
- Ensuring that your use of Documintly complies with applicable privacy and data protection laws
Where applicable, you act as the data controller for Client Data, and Documintly acts as a data processor or service provider. A Data Processing Addendum may apply or may be made available on request by contacting legal@documintly.com.
9. Shared Links
Documintly may allow you to create Shared Links for invoices, documents, PDFs, or other files.
Shared Links may use unique or secret tokens. Unless a specific password, expiration, access-control, or restriction feature is provided and enabled, Shared Links may not be password-protected. Anyone with access to a Shared Link may be able to view or download the linked content until the link is disabled, deleted, expired, or otherwise restricted.
You are responsible for:
- Deciding whether to create a Shared Link
- Sharing links only with appropriate recipients
- Disabling or deleting links when access should no longer be available
- Understanding that anyone with access to a link may be able to view or download the linked content, depending on the feature and settings available
- Ensuring that shared content does not violate law, confidentiality duties, third-party rights, or these Terms
Documintly may track activity on Shared Links, including views, downloads, timestamps, and related notifications.
Shared-link tracking is provided on a best-effort basis and may not always be complete or perfectly accurate. Tracking may be affected by browser behavior, network issues, privacy tools, ad blockers, repeated refreshes, failed tracking requests, rate limits, abuse-prevention systems, or other technical factors.
We are not responsible for unauthorized access caused by your sharing, forwarding, publishing, or failure to disable a Shared Link.
10. Templates, Generated Documents, and PDF Tools
Documintly may provide built-in templates, user-uploaded templates, document tools, PDF editing tools, signature tools, QR code tools, and other document-related features.
You understand and agree that:
- Templates are provided for convenience only
- You are responsible for reviewing and approving all documents before using or sharing them
- We do not guarantee that any template or document output is legally sufficient, enforceable, accurate, or suitable for your specific purpose
- PDF editing and document conversion tools may not perfectly preserve formatting, fonts, layout, colors, metadata, embedded elements, or other file properties
- You should review all files before sending, sharing, signing, relying on, or storing them as official records
11. File, Storage, and Usage Limits
Documintly may apply limits to files, storage, bandwidth, uploads, downloads, document size, template size, signature size, share-link usage, request volume, rate limits, account activity, or other usage of the Service.
These limits may vary by plan, feature, technical requirements, security needs, or abuse-prevention rules. We may update, enforce, reduce, increase, or introduce limits at any time where reasonably necessary to operate, secure, or improve the Service.
You agree not to bypass, disable, overload, or interfere with any technical, storage, billing, or rate-limit controls.
12. Subscriptions, Trials, and Billing
Documintly may offer free trials, paid subscriptions, monthly plans, yearly plans, or other paid access options.
Current pricing may be displayed on our website, inside the app, or during checkout. Pricing, plan features, and availability may change from time to time.
By starting a paid Subscription, you authorize us and our payment provider, Stripe, to charge your selected payment method for applicable fees, taxes, renewals, upgrades, and other charges associated with your plan.
Unless stated otherwise:
- Subscriptions renew automatically until canceled
- Monthly plans renew monthly
- Yearly plans renew yearly
- You are responsible for canceling before the renewal date if you do not want to be charged
- Access to paid features may depend on successful payment
- We may suspend or restrict access if payment fails, is disputed, or is not completed
Stripe handles payment processing. We do not store full card numbers on our servers.
13. Plan Changes and Cancellations
You may be able to upgrade, downgrade, or cancel your Subscription through your account settings, billing page, or Stripe customer portal.
Depending on your plan and billing state:
- Upgrades may take effect immediately
- Downgrades may take effect at the end of the current billing period
- Canceling a Subscription may stop future renewals but may not automatically refund previous payments
- Access to paid features may continue until the end of the paid billing period unless otherwise stated
- We may apply Stripe's billing, proration, and subscription rules where applicable
Canceling a paid Subscription does not automatically delete your Account or all data associated with your Account. Subscription cancellation, Account deletion, and data deletion are separate processes unless the Service expressly provides a combined action or unless required by applicable law.
We reserve the right to correct billing errors and update subscription records where necessary.
14. Refunds
Unless required by law or expressly stated at the time of purchase, fees are non-refundable.
We may consider refund requests on a case-by-case basis, but we are not required to provide a refund for:
- Failure to cancel before renewal
- Lack of use
- Partial billing periods
- Accidental purchases
- Feature changes that do not materially prevent use of the Service
- Account suspension or termination caused by breach of these Terms
If applicable law gives you a mandatory refund, cancellation, or withdrawal right, we will honor that right.
15. Taxes
Fees may be exclusive of taxes unless stated otherwise.
You are responsible for any taxes, duties, levies, or government charges related to your purchase or use of Documintly, except for taxes based on our income.
Where required, Stripe or another payment provider may calculate, collect, report, or remit taxes.
16. Electronic Communications
By using Documintly, you agree that we may send you service-related communications electronically.
These communications may include:
- Account notices
- Security alerts
- Password reset emails
- Billing and subscription notices
- Trial, renewal, cancellation, and payment notices
- Legal notices
- Product or feature notices
- Support responses
- Important service updates
Electronic communications may be sent by email, in-app notice, dashboard notice, website notice, or another reasonable electronic method.
You are responsible for keeping your email address current and for checking messages related to your Account.
17. Acceptable Use
You agree not to use Documintly to:
- Violate any applicable law or regulation
- Infringe or misappropriate intellectual property, privacy, publicity, or other rights
- Upload, create, store, or share unlawful, harmful, defamatory, abusive, harassing, hateful, discriminatory, or deceptive content
- Upload malware, viruses, malicious code, or harmful files
- Attempt to gain unauthorized access to Documintly, other accounts, systems, or networks
- Interfere with or disrupt the Service
- Circumvent security, authentication, billing, storage, rate limits, or access controls
- Reverse engineer, decompile, scrape, crawl, or misuse the Service except where allowed by law
- Use the Service to send spam, phishing, scams, fraudulent invoices, fake documents, or misleading payment requests
- Use the Service to impersonate another person or organization
- Use Shared Links to distribute illegal, abusive, infringing, deceptive, or harmful content
- Store or process highly sensitive data unless you have the legal right and appropriate safeguards to do so
- Resell, rent, lease, sublicense, or commercially exploit the Service without our written permission
We may investigate, suspend, restrict, or terminate accounts that we believe violate this Acceptable Use section.
18. Copyright and Infringement Complaints
You may only upload, create, store, edit, or share files, templates, logos, signatures, PDFs, documents, images, text, QR codes, and other content that you have the right to use.
You must not use Documintly to infringe copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other rights of third parties.
If you believe content hosted or shared through Documintly infringes your rights, you may contact us at legal@documintly.com.
Your notice should include enough information for us to identify the allegedly infringing content, such as:
- Your name and contact information
- A description of the copyrighted, trademarked, or protected work
- The URL, Shared Link, file name, account details, or other information reasonably sufficient to locate the content
- A statement explaining why you believe the content is infringing
- A statement that the information in your notice is accurate
- Any additional information required by applicable law
We may remove or restrict access to content that we believe violates these Terms or applicable law.
19. Prohibited Industries and High-Risk Use
You may not use Documintly for activities that are unlawful or that create unreasonable legal, security, or reputational risk.
Documintly is not designed for emergency, life-critical, medical, regulated financial, legal filing, government filing, or high-risk compliance use.
You should not rely on Documintly as the sole system of record for legally required documents, tax filings, accounting records, legal contracts, compliance filings, or regulated business records.
20. Intellectual Property
The Service, including the Documintly name, logo, design, software, interface, workflows, graphics, text, documentation, and related materials, is owned by Globe Astral LLC or its licensors and is protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
Nothing in these Terms transfers ownership of our intellectual property to you.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service except as permitted by these Terms or applicable law.
21. Feedback
If you send us ideas, suggestions, bug reports, feature requests, or other feedback, you grant us the right to use that feedback without restriction or compensation to you.
We may use feedback to improve, develop, modify, market, or operate Documintly.
22. Third-Party Services
Documintly may depend on or integrate with third-party services such as Supabase, Vercel, Stripe, Resend, Cloudflare Turnstile, Upstash, analytics providers, monitoring providers, email providers, or other infrastructure and service providers.
Your use of third-party services may be subject to their own terms and privacy policies.
We are not responsible for third-party services, including their availability, security, performance, errors, pricing, policy changes, or data handling, except where required by law.
23. Beta and Experimental Features
Some Documintly features may be new, experimental, unfinished, in testing, or subject to change.
This may include features related to PDF editing, templates, QR tools, sharing, tracking, notifications, billing improvements, integrations, storage, document processing, or other parts of the Service.
Beta or experimental features may be modified, limited, suspended, or removed at any time. They may contain errors, produce unexpected results, or not work for every use case.
You should review all important outputs carefully before relying on them.
24. Service Availability
We aim to keep Documintly available and reliable, but we do not guarantee uninterrupted, error-free, or permanent access.
The Service is provided on an "as is" and "as available" basis.
Documintly does not provide an uptime service-level agreement or guaranteed availability commitment unless a separate written agreement expressly says otherwise.
We may temporarily suspend or restrict access for:
- Maintenance
- Updates
- Security issues
- Abuse prevention
- Billing issues
- Infrastructure failures
- Legal or compliance reasons
- Events outside our reasonable control
We are not liable for downtime, delays, data loss, or service interruptions except where liability cannot be excluded under applicable law.
25. Data Export, Backups, and Deletion
You are responsible for keeping independent copies of important invoices, documents, PDFs, templates, signatures, client records, and business records.
Documintly may provide tools to download, export, or delete certain content, but we do not guarantee that all content can be exported in every format.
When you delete content or close your Account, some data may be retained for a limited period, including trash/recovery periods, backups, security logs, billing records, legal records, and compliance purposes.
Deleted documents, invoices, templates, or files may be retained for a limited period in trash or recovery systems before permanent deletion, unless deleted sooner or retained longer for lawful reasons.
Canceling a Subscription is not the same as deleting your Account. If you want your Account or data deleted, you must use the account deletion tools provided in the Service or contact us where required.
26. Suspension and Termination
You may stop using Documintly at any time.
We may suspend, restrict, or terminate your Account or access to the Service if:
- You breach these Terms
- You fail to pay required fees
- Your payment is disputed, reversed, or fraudulent
- Your use creates risk to us, other users, third parties, or the Service
- We are required to do so by law
- We reasonably suspect abuse, fraud, security issues, or unauthorized access
- You misuse Shared Links, files, templates, or document tools
Where reasonably practical, we may provide notice and an opportunity to fix the issue. However, we may act immediately if necessary to protect the Service, users, third parties, or legal compliance.
On termination:
- Your right to use the Service ends
- Your access to paid features may end
- We may delete or retain data as described in these Terms and our Privacy Policy
- Sections that by their nature should survive termination will continue, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute terms, and governing law
27. Disclaimers
To the maximum extent permitted by law, Documintly is provided "as is" and "as available."
We do not guarantee that:
- The Service will be uninterrupted, secure, or error-free
- Documents, invoices, templates, PDFs, QR codes, signatures, or outputs will be accurate, complete, compliant, or suitable for your purpose
- Files will always preserve formatting, layout, metadata, embedded content, colors, fonts, or quality
- Shared Links will prevent all unauthorized access
- Shared-link tracking will be complete or perfectly accurate
- The Service will meet every legal, tax, accounting, regulatory, industry, or business requirement
- Any errors or defects will be corrected immediately
You use Documintly at your own risk.
28. Limitation of Liability
To the maximum extent permitted by law, Globe Astral LLC, its owners, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, business, goodwill, opportunities, or anticipated savings
- Loss, corruption, disclosure, or unavailability of data
- Business interruption
- Errors in invoices, documents, templates, PDFs, QR codes, or shared content
- Unauthorized access caused by your actions, shared links, weak credentials, or third-party compromise
- Third-party service failures
- Tax, accounting, legal, regulatory, or compliance consequences arising from your use of the Service
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of:
- The amount you paid to Documintly in the 12 months before the event giving rise to the claim; or
- USD 100 dollars
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
29. Indemnification
You agree to indemnify, defend, and hold harmless Globe Astral LLC, its owners, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Your use of the Service
- Your User Content
- Your Client Data
- Your Shared Links
- Your breach of these Terms
- Your violation of applicable law
- Your violation of third-party rights
- Your invoices, documents, templates, files, signatures, QR codes, or business records
- Your tax, accounting, legal, regulatory, or business obligations
We reserve the right to control the defense of any claim that requires indemnification, and you agree to cooperate with us.
30. Changes to the Service
We may update, modify, suspend, discontinue, replace, limit, or remove parts of the Service at any time.
We may release new features, change existing features, impose usage limits, or change technical requirements.
We are not liable for modifications, suspensions, or discontinuation of the Service, except where required by law.
31. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may notify you by email, in-app notice, website notice, or another appropriate method. The updated Terms will include a new "Last updated" date.
Continued use of Documintly after updated Terms become effective means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using the Service and may cancel your Account or Subscription.
32. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
You agree that any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Wyoming, United States, unless applicable consumer protection law gives you the right to bring a claim in another location.
Before starting legal proceedings, you agree to contact us first at legal@documintly.com and attempt to resolve the dispute informally.
We aim to respond to complaints within 30 days.
33. Force Majeure
We are not responsible for delays, failures, or interruptions caused by events outside our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, hosting failures, cloud provider outages, payment processor outages, government actions, power failures, cyberattacks, or other events beyond our control.
34. Assignment
You may not assign or transfer these Terms or your Account without our prior written consent.
We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or transfer of the Service.
35. Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining parts will remain in full force and effect.
36. No Waiver
If we do not enforce a provision of these Terms, that does not mean we waive the right to enforce it later.
37. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Data Processing Addendum where applicable, and any other policies or notices referenced in these Terms, form the entire agreement between you and Globe Astral LLC regarding Documintly.
